These Terms and Conditions ("Terms") govern the use of services provided by Cargoburg Logistics Limited ("Cargoburg", "we", "us", or "our"), a company registered in Nigeria under CAC Number 8292637, located at No. 30 Bombay Crescent, Apapa, Lagos, Nigeria. By engaging our services, you ("Client") agree to be bound by these Terms.

1. Services

Cargoburg provides customs clearance, clearing and forwarding, freight forwarding (sea and air), consolidation, warehousing, ex-warehousing, and haulage services. All services are subject to availability, applicable Nigerian law, and the regulations of the Nigeria Customs Service (NCS), NAFDAC, SON, NESREA, and other relevant regulatory authorities.

2. Client Obligations

The Client shall: (a) provide accurate and complete information regarding all shipments; (b) supply all required documents including commercial invoices, packing lists, Bills of Lading, Form M, and any certificates required by Nigerian regulatory agencies; (c) pay all applicable duties, taxes, and fees in a timely manner; (d) notify Cargoburg immediately of any changes to shipment details.

3. Duties and Taxes

All customs duties, VAT, levies, and regulatory fees assessed by Nigerian authorities are the sole responsibility of the Client. Cargoburg shall not be held liable for the assessment or amount of customs duties charged by the Nigeria Customs Service or any other government agency. We will notify the Client of assessed duties before making payment on their behalf.

4. Liability Limitation

Cargoburg's liability in connection with any service shall not exceed the value of the freight charges paid for that specific shipment. We are not liable for delays caused by government authorities, port congestion, force majeure events, or incomplete/inaccurate documentation provided by the Client. We are not liable for any loss or damage to goods while in the custody of port authorities, shipping lines, or government warehouses.

5. Fees and Payment

Our service fees shall be agreed upon in writing before commencement of any clearance or forwarding operation. Payment is due upon completion of services unless otherwise agreed in writing. Late payments attract a 2% monthly interest charge. All prices are quoted in Nigerian Naira (NGN) unless otherwise stated. Cargoburg reserves the right to hold cargo or documents pending full payment of outstanding fees.

6. Documentation

The Client is responsible for the accuracy of all shipping documents provided. Cargoburg shall not be liable for delays, penalties, or seizures resulting from incorrect, incomplete, or fraudulent documentation. Any additional costs incurred due to documentation errors shall be borne by the Client.

7. Prohibited Goods

Cargoburg will not clear or forward goods that are prohibited under Nigerian law, including but not limited to: controlled substances, counterfeit goods, prohibited weapons, or goods banned by NAFDAC, SON, NESREA, or the Nigeria Customs Service. Attempting to use our services to clear prohibited goods will result in immediate termination of the engagement and may be reported to relevant authorities.

8. Confidentiality

Both parties agree to keep confidential all information exchanged in the course of the business relationship. This includes cargo details, pricing, and client information. We will not share your information with third parties except as required for service delivery or by law.

9. Force Majeure

Cargoburg shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, port strikes, government actions, war, civil unrest, pandemic, or natural disasters.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or our services shall first be subject to good-faith mediation. If mediation fails, the matter shall be referred to arbitration under Nigerian law, or to the courts of Lagos State, Nigeria.

11. Amendments

Cargoburg reserves the right to update these Terms at any time. Changes will be published on our website at www.cargoburg.com. Continued use of our services after such changes constitutes acceptance of the updated Terms.
